requirementofthedeliveryofanycertificate,consent,agreement,opinionofcounsel,noticeoranyotherdocumentofanypersontotheissuerof,anyotherobligoronoranyregistrarortransferagentfor,suchproperty,priortothesale,pledge,assignmentorothertransferorenforcementofsuchproperty,(iv)anyregistrationorqualificationrequirementorprospectusdeliveryrequirementforsuchpropertypursuanttoanyfederal,stateorforeignsecuritieslaw(includinganysuchrequirementarisingundertheSecuritiesActof1933),(v)anyconditiontoorrestrictionontheabilityofapotentialpurchaser,assignee,pledgeeortransfereetoacquiresuchpropertyfromtheholderthereofand(vi)anylegendorothernotificationappearingonanycertificaterepresentingsuchpropertytotheeffectthatanysuchconditionorrestrictionexists;exceptthattherequireddeliveryofanyassignment,instructionorentitlementorderfromtheBorroweroranypledgor,assignorortransferorofsuchproperty,togetherwithanyevidenceofthecorporateorotherauthorityofsuchPerson,shallnotconstitutesuchaconditionorrestriction.DeedRestrictionsmeansthedeedrestrictionstoberecordedwithrespecttotheLand,whichdeedrestrictionsshallbesubjecttotheDirector'sapprovalandshallbecommensuratewiththenatureandpurposeoftheLandasstatedintheRecipient'sapplicationforgrantfundsunderRevisedCodeSections164.20through164.27.TheDeedRestrictionsshallbeperpetualandshallnotbeamended,released,extinguishedorotherwisemodifiedwithoutthepriorwrittenapprovaloftheDirector,intheDirector'ssolediscretion,whoshallhavefullenforcementauthority,assetforthmorespecificallyinSectionIXofthisAgreement.PutRestrictionmeansthedaysbetweenthebeginningofthePricingPeriodandClosingDate.Duringthistime,theCompanyshallnotbeentitledtodeliveranotherPutNotice.Restrictionsmeanstheforfeiture,transferand/orotherrestrictionsapplicabletoSharesawardedtoanEmployee,DirectororConsultantunderthePlanpursuanttoaRestrictedStockAwardandsetforthinaRestrictedStockAgreement.TransferRestrictionmeans,withrespecttoanyitemofCollateraldeliveredhereunder,anyconditiontoorrestrictionon(x)theabilityoftheownerthereofor(y)intheeventthatDealerexercisesitsremedieshereunder,Dealer,ineachcase,tosell,assign,createsecurityoverorotherwisetransfersuchitemofCollateralortoenforcetheprovisionsthereoforofanydocumentrelatedtheretowhethersetforthinsuchitemofCollateralitselforinanydocumentrelatedthereto,including,withoutlimitation,(i)anyrequirementthatanysale,assignment,creationofsecurityorothertransferorenforcementofsuchitemofCollateralbeconsentedtoorapprovedbyanyPerson,including,withoutlimitation,theissuerthereoforanyotherobligorthereon,(ii)anylimitationsonthetypeorstatus,financialorotherwise,ofanypurchaser,chargee,securitytaker,pledgee,assigneeortransfereeofsuchitemofCollateral,(iii)anyrequirementofthedeliveryofanycertificate,consent,agreement,opinionofcounsel,noticeoranyotherdocumentofanyPersontotheissuerof,anyotherobligoronoranyregistrarortransferagentfor,suchitemofCollateral,priortothesale,pledge,assignmentorothertransferorenforcementofsuchitemofCollateraland(iv)anyregistrationorqualificationrequirementorprospectusdeliveryrequirementforsuchitemofCollateralpursuanttoanyapplicablelaw(including,withoutlimitation,anysuchrequirementarisingunderSection5oftheSecuritiesAct).TransferRestrictionPeriodTheperiodfromtheClosingDatetotheearlierof:(a)thelatestof(i)thedateonwhichtheaggregateunpaidprincipalbalanceofalloutstandingMortgageLoanshasbeenreducedto33.0%oftheaggregateCut-offDateBalanceoftheMortgageLoans;(ii)thedateonwhichtheaggregateoutstandingprincipalbalanceofthePrincipalBalanceCertificateshasbeenreducedto33.0%oftheaggregateoutstandingprincipalbalanceofthePrincipalBalanceCertificatesasoftheClosingDate;and(iii)twoyearsaftertheClosingDate;(b)thedateonwhichalloftheMortgageLoanshavebeendefeasedinaccordancewith§43.7(b)(8)(i)oftheRiskRetentionRules;and(c)thedateonwhichtheRiskRetentionRuleshavebeeneffectivelyabolishedorofficiallydeterminedbytheOCC,theBoardofGovernorsoftheFederalReserveSystem,theFDIC,theFederalHousingFinanceAgency,theCommissionandtheDepartmentofHousingandUrbanDevelopmenttobenolongerapplicabletotheTrust.Age-restrictedunitmeansahousingunitdesignedtomeettheneedsof,andexclusivelyfor,theresidentsofanage-restrictedsegmentofthepopulationsuchthat:1)alltheresidentsofthedevelopmentwhereintheunitissituatedare62yearsofageorolder;or2)atleast80percentoftheunitsareoccupiedbyonepersonwhois55yearsofageorolder;or3)thedevelopmenthasbeendesignatedbytheSecretaryoftheU.S.DepartmentofHousingandUrbanDevelopmentas“housingforolderpersons”asdefinedinSection807(b)(2)oftheFairHousingAct,42U.S.C.§3607.RentRestrictionTestmeansthetestpursuanttoSection42oftheCodewherebythegrossrentchargedtotenantsofthelow-incomeapartmentunitsintheApartmentHousingcannotexceed30%ofthequalifyingincomelevelsofthoseunitsunderSection42.CompanyRestrictedSharesmeansanyCompanySharessubjecttovestingorotherlapserestrictions(whethergrantedbytheCompanypursuanttotheCompanyPlans,assumedbytheCompanyinconnectionwithanymerger,acquisitionorsimilartransactionorotherwiseissuedorgranted).PaymentRestrictionmeans,withrespecttoaSubsidiaryofanyPerson,anyencumbrance,restrictionorlimitation,whetherbyoperationofthetermsofitscharterorbyreasonofanyagreementorinstrument,ontheabilityof(i)suchSubsidiaryto(a)paydividendsormakeotherdistributionsonitsCapitalStockormakepaymentsonanyobligation,liabilityorIndebtednessowedtosuchPersonoranyotherSubsidiaryofsuchPerson,(b)makeloansoradvancestosuchPersonoranyotherSubsidiaryofsuchPersonor(c)transferanyofitspropertyorassetstosuchPersonoranyotherSubsidiaryofsuchPersonor(ii)suchPersonoranyotherSubsidiaryofsuchPersontoreceiveorretainanysuch(a)dividend,distributionsorpayments,(b)loansoradvancesor(c)propertyorassets.RestrictionofUsemeansanyrestrictionofuseofalloranypartoftheNetworkforthepurposesof,orinconnectionwith,inspection,maintenance,renewalorrepairoftheNetworkoranyotherworkscarriedoutinrelationtotheNetworkoranyotherrailwayassetoranyotherworksinrelationtoit;CompanyRestrictedSharehasthemeaningsetforthinSection3.3(b).Non-transferabilitymeanstheoccurrenceofanyeventthatmakesitimpossiblefortheIssuertodeliverRenminbibetweenaccountsinsideHongKongorfromanaccountinsideHongKongtoanaccountoutsideHongKong,otherthanwheresuchimpossibilityisduesolelytothefailureoftheIssuertocomplywithanylaw,ruleorregulationenactedbyanyGovernmentalAuthority(unlesssuchlaw,ruleorregulationisenactedaftertheIssueDateanditisimpossiblefortheIssuer,duetoaneventbeyonditscontrol,tocomplywithsuchlaw,ruleorregulation).RMBNon-TransferabilitymeanstheoccurrenceofanyeventthatmakesitimpossiblefortheIssuertodeliverRMBbetweenaccountsinsideHongKongorfromanaccountinsideHongKongtoanaccountoutsideHongKong(includingwheretheRMBclearingandsettlementsystemforparticipatingbanksinHongKongisdisruptedorsuspended),otherthanwheresuchimpossibilityisduesolelytothefailureoftheIssuertocomplywithanylaw,ruleorregulationenactedbyanyGovernmentalAuthority(unlesssuchlaw,ruleorregulationisenactedaftertheIssueDateofthefirstTrancheoftherelevantSeriesanditisimpossiblefortheIssuer,duetoaneventbeyonditscontrol,tocomplywithsuchlaw,ruleorregulation);andCompanyRestrictedStockmeansCompanySharesthatareunvestedoraresubjecttorepurchaseoption,riskofforfeitureorotherconditionontitleorownershipunderanyapplicableCompanyEquityPlan,restrictedstockpurchaseagreementorotherContractwiththeCompany.RestrictionReleaseDatemeanstheearliestof(i)anydateaftertheEffectiveDateiftheBoardingoodfaithdeterminesthatitisinthebestinterestsoftheCorporationanditsshareholdersfortheownershipandtransferlimitationssetforthinthisArticleVItoexpire,(ii)thebeginningofataxableyearoftheCorporationasofwhichnoTaxBenefitsareavailable,or(iii)December31,2030.Pronerestraintmeansarestraintinwhichastudentisheldfacedownonthefloor.ResaleRestrictionTerminationDateshallhavethemeaningspecifiedinSection2.05(c).
